GEN3BLOCK Limited (Company Number: 16443115) is a UK-registered company providing AI consultancy, capability-building, platform services, and educational programmes. These Terms are intended primarily for business-to-business (B2B) engagements. Consumer protections apply where legally required.

By accessing and using this website and our services, you accept and agree to be bound by these Terms. If you do not agree, you must not use our services.

Our services are designed for business and professional use. By using our platform, you represent that you are acting on behalf of a business or organisation, and that you are at least 18 years of age. If you are not authorised to bind your organisation to these Terms, do not use the services.

GEN3BLOCK Limited provides the following services:

• AI Consultancy and Strategic Advisory
• Custom Software Development
• AI Education and Training Programmes
• AI Readiness Assessment Platform — a scored, multi-pillar assessment generating a personalised report and 90-day roadmap
• Governance Gap Agent — an AI-powered conversational tool that activates after assessment to diagnose governance risks and generate a tailored Governance Action Brief
• AI Capability-Building Programmes
• Paid deep-dive reviews and governance advisory engagements

You agree to:

• Provide accurate and complete information when using our services
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Respect intellectual property rights
• Maintain the confidentiality of any account credentials

All content, materials, and intellectual property on this website and in our services are owned by GEN3BLOCK or our licensors. This includes but is not limited to:

• Website design, layout, and functionality
• Proprietary software and algorithms
• Training materials and methodologies
• Trademarks, logos, and branding

You may not reproduce, distribute, or create derivative works without our express written permission.

We are committed to protecting your privacy and complying with UK GDPR and the Data Protection Act 2018. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms.

The lawful bases for processing your data are set out in the Privacy Policy. Processing of assessment data and platform activity is based on legitimate interests and contract performance, not consent. Marketing communications are sent only where you have given explicit consent, which you may withdraw at any time by contacting privacy@gen3block.com.

For paid services:

• Payment is due according to the agreed schedule
• All prices are in GBP unless otherwise stated
• Late payments may incur additional charges
• Disputes must be raised within 30 days of invoice date
• Prices displayed on our website are indicative and may vary depending on scope, requirements, and organisational size

To the fullest extent permitted by law, GEN3BLOCK shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our services.

Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

We may terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may terminate your use of our services at any time by contacting us.

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Our services are primarily provided on a business-to-business (B2B) basis. Where individuals engage with our services as consumers, applicable consumer protections under UK law will apply.

When using the GEN3BLOCK AI Readiness Assessment platform or any associated tools, you agree that:

• You will provide accurate information to the best of your knowledge. Assessment outputs are only as reliable as the inputs provided.
• Platform access credentials must not be shared with or used by unauthorised individuals.
• Assessment results and reports are generated for the organisation that submitted the data and must not be presented as independent third-party evaluations.
• You will not attempt to reverse-engineer, copy, or replicate the platform's proprietary scoring methodology, question bank, or roadmap logic.
• You will not use the platform to submit data on behalf of an organisation you are not authorised to represent.

Governance Gap Agent

If you engage with the Governance Gap Agent, you additionally agree that:

• Your assessment responses and conversation messages will be processed by Anthropic's Claude API to generate the agent's replies. This is disclosed in our Privacy Policy.
• The full conversation and any generated Governance Action Brief will be stored on our platform and will be accessible to the Gen3Block admin team for quality assurance and to support any follow-up engagement you request.
• The Governance Gap Agent is not a legal, financial, regulatory, or compliance advisor. Nothing it produces constitutes professional advice. You remain responsible for all decisions made on the basis of its outputs.
• Engagement with the Governance Gap Agent is voluntary. Your assessment report and 90-day roadmap remain available regardless of whether you use this feature.

Our platform produces two types of outputs, both of which are advisory in nature:

Readiness scores and reports

Pillar scores, overall readiness ratings, and 90-day roadmap actions are generated by deterministic, rule-based logic. They are not produced by AI and do not constitute legal, financial, or regulatory advice. They represent a structured interpretation of the information you submitted and must be reviewed by a qualified professional before being used to make significant business, compliance, or investment decisions.

Governance Gap Agent outputs

The Governance Gap Agent is an AI-powered tool (powered by Anthropic’s Claude) that generates personalised governance analysis based on your assessment responses and your answers during the agent conversation. Its outputs, including the Governance Action Brief, are:

• Informational and governance-oriented in nature only
• Not legal advice, regulatory guidance, or a compliance certification of any kind
• Based solely on the information you have provided — accuracy of outputs depends on accuracy of inputs
• Subject to the inherent limitations of AI-assisted analysis, including the possibility of error or omission
• Intended to support, not replace, human judgement and qualified professional advice

Users remain solely responsible for all decisions and actions taken based on platform outputs or advisory services. GEN3BLOCK Limited accepts no liability for losses arising from reliance on AI-generated outputs without appropriate professional review.

With respect to data submitted through our platform and services:

• Users and their organisations retain ownership of all data they submit.
• GEN3BLOCK Limited retains the right to use anonymised, aggregated, and non-identifiable insights derived from platform usage for benchmarking and service improvement.
• Benchmark data is only published or displayed when the relevant cohort contains a minimum of 10 organisations. No benchmark is derived from fewer than 10 submissions. This threshold is enforced at the system level to prevent identification of individual organisations.
• No individual organisation is identified or identifiable in any aggregated, benchmarked, or published data.
• We will never sell your data to third parties.

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
